Purpose/Description of Activities: "MEDISDIH S.c. a r.l.", the Regional Mechatronics District and Digital Innovation Hub of Apulia, may carry out, without any profit-making purpose, the following activities: a) study, research and development for the industrialisation of technologies, demonstrators and prototypes in the fields of mechatronics, digital technologies and ICT, as well as the transfer of the results, including in the form of services, to members and third parties; b) support for the planning, organisation and performance of industrial research and pre-competitive development activities by members and third parties, through the use of its own equipment and resources or by coordinating the equipment and resources of individual members, subject to their consent; c) advanced training, professional development and training of researchers and qualified technicians in the sectors of activity of interest to the company and its members; d) planning, organisation, design and implementation of technology transfer, innovation and training programmes and services in the fields of mechatronics, digital technologies, ICT and Industry 4.0 (as referred to in Law no. 232 of 11 December 2016, as amended and supplemented, and in the Director's Decree of 22 December 2017) addressed to enterprises; e) raising awareness throughout the region of the opportunities offered by the technological innovations within the competence of "MEDISDIH S.c. a r.l." for improving the efficiency of the industrial system through: - workshops, conferences and technical seminars; - publication of news and technical-scientific insights on websites, and video interviews; - visits to companies and centres of excellence. f) Training and updating of the skills of the various industrial professional profiles through: - training courses; - interprofessional funds; - development of qualified skills through collaboration with schools and universities at all levels to promote internships, industrial PhDs, etc.; - support for the creation of "lighthouse factories" throughout the country. g) Assessment for the identification and evaluation of technological needs through: - support for the self-assessment of technological maturity through the use of specific assessment tools; - mapping of technological gaps; - evaluation of remedial measures; - technological transformation roadmaps for business processes and assistance with implementation. h) Support for the acquisition of qualified technological skills and for identifying the relevant sources of funding through: - a "front desk" for initial contact with enterprises; - assistance in designing investment plans for technological enhancement and business efficiency; - liaison with qualified public and private entities, including Competence Centers for technology transfer and R&I projects and the Technology Clusters; - operational assistance in accessing possible calls for proposals to finance investment projects (from project submission through to the reporting of expenses); - design of business networks for accessing and enhancing 4.0 investments. i) Assistance and technological support: - intellectual property; - technical regulations; - business modelling; - cybersecurity; - other activities. l) Procurement services, including ancillary procurement activities, provided in support of non-profit entities and contracting authorities referred to in Article 3, paragraph 1, letter a), of Legislative Decree no. 50 of 2016, and management of tender and selection procedures, or stages thereof, in the event of delegation by the aforementioned entities and administrations, in the technical fields relating to the activities specified above. In carrying out its activities, the Company may also use the operational facilities of the consortium members, subject to the consent of the parties concerned. The activities in question shall preferably be carried out for the benefit of the consortium members or in cooperation with them, but also for the benefit of non-member entities, consistently with the Company's objectives. When organising its offering, MEDISDIH S.c. a r.l. may make use of the technology offerings of its members, provided that such offerings are of adequate quality, available within the required timeframes and economically competitive. The corporate bodies competent under the Articles of Association may carry out any activities connected or ancillary to those listed above, and may also enter into all contractual transactions of a real-estate, movable-property, industrial or financial nature that are necessary and useful for achieving the corporate purposes and, in any event, are directly or indirectly related thereto. The Company may establish, participate in or acquire equity interests or other interests in enterprises or companies having an object similar, ancillary or connected to its own, including where these are for-profit companies, provided that their activities are compliant with, connected to or instrumental to the pursuit of its own objectives. In any event, the provisions of Article 2361 of the Italian Civil Code shall apply.
